IMPORTANT NOTICE
NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE THE ODDS OF ANY INDIVIDUAL ENTRY BEING SELECTED. FREE METHODS OF ENTRY ARE AVAILABLE. VOID WHERE PROHIBITED BY LAW.
These General Sweepstakes Rules (“General Rules”) govern participation in sweepstakes, giveaways, prize drawings, and other promotional activities (collectively, “Promotions”) offered by Membership Advantage LLC (“Sponsor,” “Company,” “we,” “us,” or “our”) through www.bagsofprey.com and its associated websites, mobile applications and services (collectively, the “Website”).
The Sponsor operates a membership and consumer benefits platform through which customers may purchase memberships, subscriptions, merchandise, and other products or services that provide access to discounts, benefits, and other offerings.
From time to time, the Sponsor may conduct Promotions to promote its business, memberships, products, or services.
Participants may receive complimentary sweepstakes entries (“Entries”) in connection with eligible purchases, memberships, or other qualifying promotional activities, or through a free Alternative Method of Entry (“AMOE”).
Entries are not sold separately, have no monetary value, and cannot be purchased as standalone products.
Each Promotion is additionally governed by separate Official Rules specific to that Promotion (“Drawing Rules”), which identify its prizes, promotional period, eligibility requirements, entry methods, winner-selection procedures, and other relevant details.
Promotions may be administered by an independent third-party sweepstakes administrator (“Administrator”), as identified in the applicable Drawing Rules.
By participating in a Promotion, participants agree to be bound by these General Rules, the applicable Drawing Rules, and the Sponsor's Terms of Service to the extent lawfully incorporated and enforceable.
In the event of a conflict, the applicable Drawing Rules shall control with respect to that Promotion, except where otherwise required by applicable law.
The Sponsor does not offer, condone, or encourage illegal gambling. All Promotions are intended to operate as lawful promotional sweepstakes, subject to applicable law. Participants must not enter from prohibited jurisdictions.
1. Eligibility
Unless otherwise specified in the applicable Drawing Rules, Promotions are open only to individuals who:
a. Are legal residents of the United States or Canada, excluding Quebec, and any other jurisdictions designated as prohibited by the Sponsor or applicable Drawing Rules;
b. Are at least eighteen (18) years old and have reached the legal age of majority in their jurisdiction of residence;
c. Have satisfied applicable Website registration requirements, where required;
d. Are not prohibited from participating under applicable federal, state, provincial, territorial, or local laws;
e. Are not subject to applicable trade or economic sanctions that would prohibit participation or receipt of a Prize; and
f. Are not employees, officers, directors, contractors, agents, or representatives of the Sponsor, Administrator, or their respective affiliates, or immediate family or household members of such persons, unless expressly permitted by the Drawing Rules.
Promotions are void in Quebec and in all other jurisdictions where prohibited by law.
The Sponsor may restrict particular Promotions or Prize categories in jurisdictions where applicable laws impose additional limitations.
The Sponsor reserves the right to verify eligibility, identity, residence, and compliance with these General Rules at any time.
The Sponsor may reject Entries or disqualify participants who do not meet applicable eligibility requirements.
Participants are responsible for providing accurate information concerning their jurisdiction of residence and must not use false addresses, location-masking technologies, or other deceptive means to circumvent geographic restrictions.
Participation does not establish eligibility where participation would otherwise violate applicable law.
2. Promotional Periods
Each Promotion will have a designated beginning and ending date and time (the “Promotional Period”), as set forth in the applicable Drawing Rules.
Entries must be received during the Promotional Period and before the applicable submission deadline.
The Sponsor's or Administrator's designated timekeeping system shall serve as the official timekeeping mechanism.
The Sponsor may operate multiple Promotions simultaneously or consecutively.
Participation in one Promotion does not automatically constitute participation in another unless expressly stated in the applicable Drawing Rules.
The Sponsor reserves the right to introduce, discontinue, or modify future Promotions at its discretion, subject to applicable law.
3. Sweepstakes Entries
Eligible participants may receive Entries through qualifying promotional activities identified on the Website or in the applicable Drawing Rules.
These may include:
a. Complimentary Entries associated with eligible purchases of merchandise, subscriptions, memberships, or other products and services;
b. Complimentary Entries associated with active membership benefits;
c. Free Entries obtained through the AMOE; and
d. Other qualifying promotional activities expressly identified in the applicable Drawing Rules.
The number of Entries allocated through each method, applicable multipliers, entry limits, and promotional conditions will be disclosed in the applicable Drawing Rules or promotional materials, as required by law.
Entries are promotional participation rights only.
Entries:
-
Have no cash or monetary value;
-
Are not available for standalone purchase;
-
Cannot be sold, transferred, assigned, traded, or redeemed for cash;
-
Cannot be exchanged for merchandise, discounts, or other benefits;
-
Are valid only for the applicable Promotion unless otherwise expressly stated; and
-
Expire upon completion of the relevant Promotion unless otherwise provided in the Drawing Rules.
The Sponsor reserves the right to correct inaccurate Entry balances or allocations arising from demonstrable technical, processing, or administrative errors.
All valid Entries submitted to the same drawing have an equal chance of being selected, regardless of the method by which they were obtained.
4. No Purchase Necessary; Alternative Method of Entry
NO PURCHASE, PAYMENT, OR PAID MEMBERSHIP IS NECESSARY TO ENTER OR WIN A PROMOTION.
Every Promotion will provide an Alternative Method of Entry (“AMOE”) through which eligible individuals may obtain Entries without purchasing products, memberships, subscriptions, or services.
The applicable Drawing Rules shall specify:
a. The available free entry method;
b. The requirements for submitting a valid free Entry request;
c. Applicable entry limitations;
d. Submission deadlines and receipt requirements; and
e. Any other lawful administrative conditions.
The AMOE may include mail-in requests, online entry forms, or other qualifying free entry mechanisms, as described in the applicable Drawing Rules.
Eligible AMOE Entries will be included in the same drawing as Entries obtained through other qualifying methods.
Each valid Entry shall have an equal chance of selection regardless of entry method.
Free entry procedures and limits will be structured to comply with applicable law and will not impose an unlawful competitive disadvantage upon eligible participants who do not make a purchase.
The Sponsor may require reasonable identifying information, including free account registration where permitted, to verify eligibility, attribute Entries accurately, and prevent fraud.
The Sponsor reserves the right to reject AMOE submissions that are materially incomplete, fraudulent, machine or computer generated, submitted outside the applicable period, or otherwise fail to comply with the Drawing Rules.
5. Memberships, Purchases, and Promotional Benefits
The Sponsor may offer paid memberships, subscription packages, merchandise, and other products or services providing independently described consumer benefits.
Certain purchases or memberships may include complimentary promotional Entries as an incidental benefit.
Purchases and memberships do not constitute purchases of Entries or guarantees of winning a Prize.
No purchase or paid membership is required to enter or win any Promotion.
Where a Promotion is advertised in connection with a membership, an equivalent lawful free entry opportunity will be available as described in the Drawing Rules.
The Sponsor may modify membership offerings, prices, and benefits prospectively in accordance with its Terms of Service and applicable law.
Cancellation, expiration, or modification of a membership will not automatically invalidate otherwise valid Entries already accepted into an ongoing Promotion, except where expressly permitted under the Drawing Rules and applicable law.
Refunds, chargebacks, or reversals of transactions may be investigated to determine whether associated Entries were validly issued or obtained through fraudulent conduct. Any resulting correction must comply with applicable law and must not impose an unlawful purchase requirement.
6. Account Integrity and Entry Verification
Participants must provide accurate, complete, and truthful information when registering accounts, obtaining Entries, entering Promotions, or claiming Prizes.
Each individual may maintain only one Website account.
The Sponsor may investigate and take appropriate action against participants who:
a. Create fictitious, duplicate, or unauthorized accounts;
b. Use false or misleading personal information;
c. Impersonate another individual;
d. Use automated scripts, bots, or prohibited entry mechanisms;
e. Circumvent entry limits or eligibility requirements;
f. Manipulate or attempt to manipulate Entry balances, promotional systems, or drawing procedures;
g. Engage in payment fraud, identity theft, or unauthorized account access;
h. Use deceptive means to evade geographic restrictions; or
i. Otherwise materially violate these General Rules, the Drawing Rules, the Terms of Service, or applicable law.
The Sponsor may temporarily suspend accounts, restrict Entries, or withhold unverified Prize claims while conducting reasonable investigations.
Where the Sponsor reasonably determines that a material violation has occurred, it may, to the fullest extent permitted by applicable law:
-
Suspend or terminate the participant's account;
-
Disqualify the participant from current or future Promotions;
-
Invalidate Entries obtained through prohibited conduct;
-
Withhold or cancel affected, unverified Prize claims;
-
Restrict the creation of additional unauthorized accounts;
-
Refer suspected unlawful activity to relevant authorities; and
-
Pursue damages, injunctive relief, recovery of losses, and other available legal remedies.
The Sponsor reserves the right to preserve records and evidence relating to suspected fraudulent or unlawful conduct.
7. Prizes and Odds of Winning
Each Promotion's available prizes (“Prizes”), quantities, approximate retail values, and material restrictions will be identified in its applicable Drawing Rules.
Unless otherwise stated, the odds of winning depend upon the total number of eligible Entries received for the applicable drawing.
Every eligible Entry in the same drawing shall have an equal chance of selection.
Prizes are non-transferable and may not be sold, assigned, exchanged, or redeemed for cash unless expressly permitted by the applicable Drawing Rules.
The Sponsor reserves the right to substitute an advertised Prize with another Prize of equal or greater approximate retail value if the original Prize becomes unavailable due to circumstances beyond the Sponsor's reasonable control, including supplier unavailability, discontinuation, damage, loss, or other fulfillment difficulties.
Any substitution shall be made in good faith, subject to applicable law and the Drawing Rules.
Winners may not demand an alternative Prize, cash equivalent, or particular brand, model, color, specification, or configuration unless expressly authorized by the Drawing Rules or applicable law.
Product images used in promotional materials may be illustrative. Any material variation from the advertised Prize must comply with the Drawing Rules and applicable law.
The Sponsor does not guarantee the future market, resale, or investment value of any Prize.
Manufacturer warranties, where applicable, remain subject to their respective terms. Nothing in these General Rules excludes non-waivable product or consumer protections.
8. Winner Selection and Notification
Potential winners shall be selected using the procedures, timing, and methodology described in the applicable Drawing Rules.
Where an independent Administrator is appointed, it shall conduct or oversee winner selection in accordance with the Drawing Rules and its agreement with the Sponsor.
Potential winners may be contacted using the email address, telephone number, mailing address, or other contact information supplied with their Entry or associated account.
Selection or notification as a potential winner does not constitute final confirmation of winning or create an unconditional entitlement to any Prize.
A potential winner must satisfy all applicable eligibility, verification, and Prize-claim requirements before being declared an official winner.
The Sponsor and Administrator are not responsible for unsuccessful notifications caused by inaccurate participant information, spam filters, blocked communications, or systems outside their reasonable control, subject to applicable law.
9. Winner Verification, Prize Claims, and Forfeiture
No Prize shall be awarded until the Sponsor or Administrator has completed all applicable verification and compliance procedures.
Before awarding a Prize, the Sponsor or Administrator may require a potential winner to:
a. Verify identity, age, and jurisdiction of residence;
b. Provide valid government-issued identification or other reasonable documentation;
c. Complete an affidavit or declaration of eligibility;
d. Execute applicable liability or publicity releases, where lawful;
e. Provide tax documentation and information required for reporting or withholding;
f. Complete identity, fraud-prevention, sanctions, or compliance checks;
g. Satisfy the Canadian mathematical skill-testing requirement, where applicable; and
h. Fulfill any additional lawful requirements stated in the Drawing Rules.
Unless a different period is specified in the Drawing Rules or required by law, potential winners must respond to initial Prize notifications and requests for required documentation within seven (7) calendar days.
A potential winner may forfeit the Prize if they:
-
Fail to respond within the applicable deadline;
-
Fail to complete required documentation;
-
Provide false, incomplete, or materially inconsistent information;
-
Fail to establish eligibility;
-
Refuse lawful verification requirements;
-
Fail a required Canadian skill-testing question; or
-
Otherwise materially violate applicable rules.
Upon forfeiture or disqualification, the Sponsor or Administrator may select an alternate winner in accordance with the Drawing Rules and applicable law.
The Sponsor may reasonably extend verification deadlines or require additional documentation where necessary to resolve discrepancies, suspected fraud, or compliance concerns.
The Sponsor may reject screenshots, emails, account displays, or other purported evidence of winning that is inconsistent with authenticated records.
The Sponsor reserves the right to delay or withhold Prize fulfillment while investigating suspected fraud, material rule violations, or legal compliance matters, subject to applicable law.
10. Canadian Residents
Promotions offered to Canadian residents are subject to applicable Canadian federal and provincial laws.
RESIDENTS OF QUEBEC ARE NOT ELIGIBLE TO PARTICIPATE IN ANY PROMOTION.
Before being declared an official winner or receiving a Prize, every Canadian potential winner must correctly answer a time-limited mathematical skill-testing question without mechanical, electronic, or other assistance.
The skill-testing question may be administered by the Sponsor or Administrator through email, telephone, an online form, or another designated method.
Failure to answer the skill-testing question correctly within the applicable time limit will result in disqualification and forfeiture of the Prize, subject to applicable law and the Drawing Rules.
An alternate winner may be selected in accordance with the applicable Drawing Rules.
Additional Canadian eligibility, disclosure, verification, tax, and Prize fulfillment requirements may apply as specified in the Drawing Rules.
11. Taxes, Shipping, and Prize Fulfillment
Winners are responsible for applicable federal, state, provincial, territorial, or local taxes arising from the receipt or use of a Prize, except where applicable law provides otherwise.
The Sponsor may require tax documentation, issue applicable reporting forms, and withhold amounts where required by law.
Winners must provide accurate and complete shipping, contact, and fulfillment information and cooperate with reasonable delivery requirements.
Unless otherwise expressly stated in the Drawing Rules, delivery dates are estimates and are not guaranteed.
Any material shipping charges, customs duties, registration fees, insurance costs, or other fulfillment expenses payable by a winner will be disclosed in the applicable Drawing Rules or other legally sufficient promotional disclosures.
The Sponsor shall not be responsible for delays, unsuccessful deliveries, or additional expenses attributable to inaccurate information, failure to cooperate, or other circumstances caused by a winner, subject to applicable law.
Where a Prize cannot be delivered due to circumstances attributable to the winner, the Sponsor may provide a reasonable opportunity to remedy the issue.
Failure to do so may result in forfeiture where permitted by law and the Drawing Rules.
The Sponsor may use third-party suppliers, shipping carriers, or fulfillment providers to deliver Prizes.
Nothing in this section excludes legal responsibilities that cannot lawfully be delegated or waived.
12. Fraud, Prohibited Conduct, and Community Standards
Participants must not interfere with the lawful, fair, or orderly operation of any Promotion or engage in conduct that threatens, harasses, abuses, or unlawfully harms the Sponsor, Administrator, their representatives, or other participants.
Prohibited conduct includes:
a. Fraudulent, deceptive, or unauthorized entry activity;
b. Manipulation of the Website, Entry systems, or winner-selection procedures;
c. Threats, intimidation, bullying, or harassment;
d. Defamatory or knowingly false statements;
e. Hate speech, unlawful discriminatory harassment, or abusive conduct;
f. Unauthorized disclosure of another person's private or confidential information;
g. Attempts to interfere with Prize fulfillment, administrative processes, or another participant's lawful participation; and
h. Other conduct materially violating these General Rules, the Drawing Rules, the Terms of Service, or applicable law.
These standards apply to conduct occurring through the Website, social media platforms, electronic communications, or other channels where the conduct is materially connected to a Promotion or the Sponsor's operations.
The Sponsor reserves the right, in its reasonable discretion and subject to applicable law, to:
-
Remove or request removal of prohibited content;
-
Suspend or terminate participant accounts;
-
Invalidate Entries obtained through prohibited conduct;
-
Disqualify participants from current or future Promotions;
-
Withhold affected, unverified Prize claims;
-
Report unlawful conduct to relevant authorities; and
-
Pursue legal remedies, including recovery of damages and injunctive relief.
Nothing in this section prohibits truthful reviews, legitimate criticism, good-faith complaints, lawful consumer advocacy, or the exercise of legally protected rights.
13. Technical Errors and Entry Corrections
The Sponsor reserves the right to investigate and correct errors, discrepancies, or inaccuracies affecting Website displays, participant accounts, Entry balances, promotional allocations, winner notifications, or the administration of any Promotion.
Entries credited due to a demonstrable technical, administrative, or processing error may be corrected or removed to reflect the number of Entries properly allocated under the applicable rules.
Where valid Entries are inadvertently lost, deleted, or corrupted before a drawing, the Sponsor may restore or replace an equivalent number of Entries as the primary remedy, to the fullest extent permitted by applicable law.
Erroneous Website displays, automated messages, emails, or system-generated notifications do not independently establish a valid Prize entitlement.
The Sponsor shall not be liable, to the fullest extent permitted by law, for technical or operational failures beyond its reasonable control, including:
a. Website interruptions or server failures;
b. Internet, telecommunications, software, or hardware failures;
c. Lost, delayed, incomplete, corrupted, or misdirected communications;
d. Unauthorized system access or third-party interference;
e. Automated processing errors; or
f. Other disruptions affecting Entry administration or participant communications.
The Sponsor may rely on authenticated records maintained by the Sponsor or Administrator when resolving administrative discrepancies.
Nothing in this section authorizes the Sponsor to invalidate a properly awarded Prize or disregard applicable consumer protections.
14. Modification, Suspension, and Cancellation of Promotions
The Sponsor reserves the right, subject to applicable law and the Drawing Rules, to suspend, modify, extend, correct, or cancel a Promotion where circumstances materially impair its lawful, fair, secure, or proper operation.
Such circumstances may include:
a. Fraud, attempted manipulation, or unauthorized interference;
b. Material technical or administrative failures;
c. Cybersecurity incidents;
d. Natural disasters, governmental actions, or events beyond the Sponsor's reasonable control;
e. Material disruptions affecting Prize availability or fulfillment;
f. Changes in applicable laws or regulatory requirements; or
g. Other circumstances materially compromising the integrity or lawful administration of a Promotion.
The Sponsor or Administrator shall determine appropriate corrective measures in good faith and in accordance with applicable law.
Such measures may include suspending Entries, restoring affected records, extending deadlines, correcting errors, or conducting a drawing from eligible Entries received before the disruption where lawful and appropriate.
Where reasonably practicable, the Sponsor will notify affected participants of material changes.
The Sponsor shall not retroactively modify a Promotion solely to reduce valid participants' chances of winning, eliminate a properly awarded Prize, or otherwise unfairly disadvantage participants.
Nothing in this section limits the Sponsor's lawful discretion to change or discontinue future Promotions.
15. Publicity and Promotional Use
Except where prohibited by law, acceptance of a Prize constitutes the winner's consent for the Sponsor and its authorized representatives to use the winner's:
-
Name;
-
City and state or province of residence;
-
Photograph and likeness;
-
Voice;
-
Prize description and related winning information; and
-
Approved photographs or recordings of Prize presentation or delivery;
for advertising, publicity, promotional, and marketing purposes in any media, including websites, social media, digital advertising, print, and video, worldwide and without additional compensation, to the extent permitted by applicable law.
The Sponsor may request reasonable cooperation with winner announcements, Prize presentation activities, or verification of receipt.
Separate consent or releases may be obtained where required for interviews, testimonials, additional photographs, video recordings, or other substantial promotional content.
The Sponsor will not publicly disclose sensitive personal information such as full residential addresses, government identification numbers, or financial account information.
Nothing in this section requires a participant to waive publicity or privacy rights that cannot lawfully be waived.
16. Privacy and Personal Information
Personal information collected in connection with Promotions will be processed in accordance with the Sponsor's Privacy Policy and applicable privacy and data protection laws.
Personal information may be shared with the Administrator, identity-verification providers, fulfillment services, tax reporting providers, and other parties reasonably necessary to administer Promotions, verify eligibility, investigate fraud, select winners, and deliver Prizes.
Participation in a Promotion does not automatically constitute consent to receive unrelated promotional marketing communications.
Participants may receive transactional communications necessary for Entry administration, winner notification, verification, compliance, and Prize fulfillment.
Where required, marketing consent will be obtained separately.
The Sponsor may retain records reasonably necessary for legal compliance, fraud prevention, recordkeeping, and dispute resolution, subject to applicable law.
17. Social Media Promotions
Promotions may be advertised or conducted through social media platforms.
Unless expressly stated otherwise, Promotions are not sponsored, endorsed, administered by, or associated with Instagram, Facebook, TikTok, or any other social media platform.
Participants agree to comply with applicable platform terms and the relevant Drawing Rules.
To the fullest extent permitted by law and where required by platform rules, participants release the applicable social media platforms from claims arising from participation in the Promotion.
The Sponsor is not responsible for independent changes, interruptions, or restrictions imposed by third-party social media platforms.
18. Release, Indemnification, and Limitation of Liability
To the fullest extent permitted by applicable law, by participating in any Promotion, each participant agrees to release, defend, indemnify, and hold harmless the Sponsor, Administrator, and their respective parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, representatives, advertising and promotional partners, suppliers, and Prize fulfillment providers (collectively, the “Released Parties”) from and against claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to the participant's breach of these General Rules or the applicable Drawing Rules, violation of applicable law, fraud, misconduct, or infringement of third-party rights.
To the fullest extent permitted by applicable law, the Released Parties shall not be liable for claims, losses, damages, or injuries arising from or relating to participation in a Promotion, receipt, possession, use, or misuse of any Prize, or technical, administrative, or operational failures, including without limitation:
a. Incorrect, incomplete, inaccurate, delayed, lost, or misdirected Entries, notifications, or communications;
b. Computer, server, network, software, hardware, payment processing, or telecommunications failures;
c. Unauthorized access, fraudulent activity, or third-party interference;
d. Errors in Entry processing, account balances, winner selection, or Prize administration;
e. Injury, loss, or damage arising from the acceptance, possession, use, or misuse of a Prize; or
f. Circumstances beyond the reasonable control of the Released Parties.
To the fullest extent permitted by applicable law, the Released Parties shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, or loss of opportunity, regardless of the legal theory asserted, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, each participant waives any right to recover damages exceeding their actual, direct, out-of-pocket expenses incurred in connection with participation in the applicable Promotion, excluding purchases or payments not required for participation.
This limitation does not eliminate any legally enforceable obligation to award a validly won Prize or provide a remedy required by applicable law.
Where valid Entries are lost, deleted, or corrupted due to a technical or administrative error, replacement or restoration of equivalent Entries may constitute the primary remedy, subject to applicable law and the Drawing Rules.
Nothing in this section excludes or limits liability for fraud, willful misconduct, gross negligence, violations of applicable law, or any other liability that cannot lawfully be excluded or limited.
Certain jurisdictions do not permit particular exclusions or limitations of liability. In such jurisdictions, those provisions shall apply only to the maximum extent permitted by applicable law.
19. Dispute Resolution and Governing Law
These General Rules shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory laws of a participant's jurisdiction require otherwise.
To the extent lawfully incorporated and enforceable, disputes arising from or relating to participation in Promotions shall be subject to the dispute-resolution provisions of the Sponsor's Terms of Service, including applicable arbitration and class-action waiver provisions.
Participants agree to resolve disputes through the procedures specified in those provisions to the extent permitted by law.
Nothing in these General Rules prevents participants from exercising rights, remedies, or access to courts or regulatory authorities that cannot lawfully be waived.
The Sponsor reserves the right to seek injunctive or other equitable relief in connection with fraud, intellectual property infringement, unauthorized interference, or other unlawful conduct, subject to the applicable dispute-resolution provisions and law.
20. Administrative Authority and Determinations
The Sponsor and Administrator shall have authority to interpret and administer these General Rules and the applicable Drawing Rules, resolve administrative discrepancies, verify eligibility, investigate suspected fraud, and determine compliance with Promotion requirements.
Their reasonable, good-faith determinations concerning factual eligibility, Entry validity, verification, and administrative compliance shall be final and binding to the fullest extent permitted by applicable law, subject to any statutory rights of review or challenge.
The Sponsor may delegate administrative functions to independent third parties without relieving itself of legal obligations that cannot lawfully be delegated.
The Sponsor reserves all rights and remedies not expressly waived under these General Rules.
21. Amendments to These General Rules
The Sponsor may amend these General Rules from time to time to reflect changes in its Promotions, business practices, legal obligations, or administrative procedures.
Updated General Rules will be published on the Website with a revised Last Updated date.
Where practicable, material amendments will be communicated through the Website or other reasonable means, and participants may be required to accept updated rules before entering future Promotions.
Amendments shall apply prospectively unless otherwise required or permitted by applicable law.
For Promotions already underway, the rules effective at the commencement of the relevant Promotion will continue to apply to the extent necessary to preserve accrued participant rights and the lawful, fair administration of the Promotion.
22. General Provisions
If any provision of these General Rules is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.
Failure by the Sponsor to enforce any provision does not constitute a waiver of the Sponsor's right to enforce that provision subsequently.
Section headings are provided for convenience only and shall not affect interpretation.
These General Rules, together with the applicable Drawing Rules and lawfully incorporated provisions of the Sponsor's Terms of Service, govern participation in the relevant Promotion.
Participants are responsible for reviewing and complying with the Drawing Rules applicable to each Promotion.
Nothing in these General Rules creates an employment, partnership, agency, or fiduciary relationship between the Sponsor and any participant.
