Last Updated: 1 October 2026

1. Overview and Acceptance of Terms

Welcome to Bags of Prey (the "Company," "we," "us," or "our"), operated by Membership Advantage LLC. These Terms of Service ("Terms") govern your access to and use of our website at www.bagsofprey.com, associated websites, online stores, membership programs, digital content, products, promotional activities, and related services (collectively, the "Services").

Our Services may include:

  • Physical and digital merchandise;

  • Access to third-party products and services;

  • Exclusive member benefits, offers, and discounts;

  • Paid memberships and subscriptions;

  • Promotional sweepstakes, contests, and prize giveaways; and

  • Other products, services, or benefits made available from time to time.

By accessing or using our Services, creating an account, or purchasing any product or membership, you acknowledge that you have read, understood, and agree to be bound by these Terms and our applicable policies.

PLEASE READ THESE TERMS CAREFULLY. SECTION 17 CONTAINS PROVISIONS REGARDING DISPUTE RESOLUTION, INCLUDING A PROPOSED BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER, SUBJECT TO APPLICABLE LAW.

If you do not agree to these Terms, you must not use our Services.

2. Eligibility

To create an account, purchase a membership, or use our paid Services, you must:

a. Be at least eighteen (18) years of age and have reached the age of majority in your jurisdiction;

b. Be a legal resident of the United States of America or Canada (excluding Quebec);

c. Have the legal capacity to enter into a binding agreement;

d. Provide accurate, complete, and current information when requested;

e. Use our Services only for lawful purposes; and

f. Comply with these Terms and all applicable laws.

Access to particular Services, products, promotional activities, or sweepstakes may be restricted based on your location, age, residency, or other eligibility criteria.

Participation in individual sweepstakes is governed by the applicable Official Rules, which may impose additional age, geographic, residency, and other eligibility requirements.

We reserve the right to verify your age, identity, eligibility, and location where reasonably necessary. Promotions run by us may be voided for individuals who do not comply with these Terms.

3. User Accounts

3.1 Account Registration

Certain Services may require an account. You agree to provide accurate registration information and maintain its accuracy.

Each individual may maintain only one account. We will not be held responsible for any loss, in any form, that is the result of a third party gaining access to your account.

Accounts are personal and may not be sold, transferred, shared, or assigned to another person.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, except to the extent resulting from our failure to comply with applicable law or our own obligations.

You agree to notify us promptly at support@bagsofprey.com if you suspect unauthorized access.

3.3 Identity Verification

We may request reasonable documentation to verify identity, age, residence, account ownership, or eligibility for promotional activities.

Verification may be required before awarding a prize, processing certain transactions, or restoring access to an account.

Our collection and use of verification information are governed by our Privacy Policy and applicable law.

3.4 Suspension or Termination

We may suspend, restrict, or terminate accounts where we reasonably believe that a user has:

  • Violated these Terms or applicable laws;

  • Engaged in fraud, identity misrepresentation, or unauthorized account access;

  • Used automated systems to manipulate our Services;

  • Abused promotions, discounts, or payment systems;

  • Threatened the security or integrity of our Services; or

  • Engaged in other materially harmful, unlawful or prohibited conduct.

Where practicable, we may provide notice and an opportunity to resolve the issue.

Account termination does not eliminate any legally enforceable rights relating to completed purchases, valid sweepstakes entries, accrued benefits, refunds, or prizes.

Users may request account deletion by contacting support@bagsofprey.com or using available account controls.

4. Products, Memberships, and Services

4.1 Products and Merchandise

We may offer physical or digital products through our online store.

Product descriptions, prices, availability, shipping information, and applicable restrictions will be displayed at the time of purchase.

We make reasonable efforts to provide accurate descriptions and pricing. We reserve the right to correct genuine errors and address orders affected by such errors in accordance with applicable law.

Purchases are subject to these Terms and those displayed at the time of purchase.

Refund and product return enquiries can be made to support@bagsofprey.com.

4.2 Membership Programs

We may offer paid memberships granting access to specified benefits.

Membership tiers, prices, billing frequencies, and included benefits will be displayed on the relevant product or membership page and at checkout.

Membership benefits may include:

a. Access to exclusive discounts, promotional offers, and partner benefits;

b. Access to digital content, publications, or other materials;

c. Member-only merchandise offers or promotions;

d. Store credits or other benefits, where expressly included; and

e. Other benefits described in the applicable membership offer.

Membership benefits are personal, non-transferable, and intended for individual consumer use unless expressly stated otherwise.

4.3 No Guaranteed Economic Value

The actual financial value derived from membership benefits will depend on the offers available, eligibility restrictions, and how the member uses those benefits.

We do not guarantee that a member will obtain a minimum amount of savings, cashback, or other economic value unless expressly stated in the applicable membership offer.

4.4 Changes to Membership Benefits

We may introduce, discontinue, or modify membership benefits from time to time.

Where a change materially reduces benefits associated with an existing paid membership, we will provide notice as required by law and any applicable subscription agreement.

Any rights to cancel, obtain a refund, or reject a material change remain subject to applicable law and our disclosed policies.

4.5 No Ownership Interest

Memberships provide access to specified contractual benefits and do not convey equity, ownership, or any financial interest in the Company.

5. Membership Subscriptions and Automatic Renewal

5.1 Recurring Billing

Certain memberships renew automatically unless canceled.

Before purchasing a subscription, you will be shown:

  • The membership tier and included benefits;

  • The amount charged per billing period;

  • The billing frequency;

  • Any introductory or promotional pricing;

  • The date or circumstances of the first charge;

  • Applicable cancellation terms; and

  • Any other material recurring-payment conditions.

By affirmatively consenting to automatic renewal during checkout, you authorize us and our payment processors to charge the payment method provided for the applicable subscription fees until cancellation.

5.2 Renewal Frequency

Your membership will automatically renew every month at the price disclosed and accepted during enrollment, unless canceled or otherwise modified in accordance with applicable law.

The billing frequency and price shown at checkout control your individual subscription.

5.3 Cancellation

You may cancel your membership at any time.

For subscriptions purchased online, cancellation will be available through your account portal, subject to any additional cancellation methods required by law.

You may also contact support@bagsofprey.com for assistance.

Unless applicable law or the specific membership offer provides otherwise, cancellation stops future recurring charges, and paid membership access continues through the end of the current billing period.

5.4 Refunds

Except as required by law, cancellation does not entitle a customer to a prorated refund for an already commenced billing period.

5.5 Price Changes

We may change subscription pricing prospectively.

We will provide advance notice of applicable price changes, request consent where required, and offer an opportunity to cancel before a new charge takes effect.

5.6 Free Trials and Promotional Offers

Where offered, free trials and introductory promotions will be subject to the specific terms presented at enrollment.

We will disclose the duration of any trial, the applicable recurring charge following the trial, the renewal frequency, and how to cancel before being charged.

5.7 Failed Payments

If a recurring payment fails, we may retry the payment, request updated payment information, or suspend paid membership benefits.

We will not impose undisclosed charges or penalties.

6. Sweepstakes, Giveaways, and Promotional Activities

6.1 General

From time to time, we may conduct or sponsor promotional sweepstakes, prize giveaways, contests, or other promotional activities (collectively, "Promotions").

Each Promotion will be governed by its applicable Official Rules, published on our website, or otherwise made available in connection with that Promotion.

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN A SWEEPSTAKES. A PURCHASE OR PAYMENT WILL NOT INCREASE THE ODDS OF ANY INDIVIDUAL ENTRY BEING SELECTED AS A WINNER.

All pertinent information regarding each sweepstakes, such as prize information, eligibility, timing, and other material details, will be specified in the applicable Official Rules and posted on our website.

6.2 Promotional Entries

Eligible customers may receive promotional sweepstakes entries in connection with qualifying purchases, memberships, or other promotional activities where expressly provided in the applicable Official Rules.

An alternative method of free entry will be available for each sweepstakes as described in those Official Rules.

Entries may not be sold, exchanged, transferred, or redeemed for cash, and have no independent monetary value.

6.3 Separate Official Rules

Each Promotion's Official Rules will govern:

a. Sponsor and administrator identification;

b. Eligibility and geographic restrictions;

c. Promotion start and end dates;

d. Available methods of entry, including free entry;

e. Entry limits, bonus periods, and any applicable multipliers;

f. Prize descriptions and approximate retail values;

g. Winner selection, verification, and notification;

h. Prize delivery, taxes, and other winner obligations; and

i. Other promotion-specific conditions.

If these Terms conflict with the Official Rules concerning participation in a particular Promotion, the Official Rules will control for that Promotion, except where prohibited by applicable law.

6.4 No Requirement to Purchase

Purchasing a product or membership is not required to enter or win a sweepstakes.

Free entries will be treated according to the same applicable winning criteria as other valid entries in the same drawing.

The existence of paid memberships, premium tiers, or promotional entry allocations does not eliminate the availability of the free entry method described in the Official Rules.

6.5 Membership Cancellation and Entries

Canceling a paid membership will stop future membership charges but will not, by itself, invalidate sweepstakes entries validly received and accepted before cancellation.

Entries already submitted or awarded will remain subject to the applicable Official Rules, including any stated entry periods, expiration provisions, fraud restrictions, and eligibility requirements.

6.6 Geographic Restrictions

Sweepstakes availability may vary by state, territory, or jurisdiction, and our Promotions are void where prohibited by law.

Unless prohibited by law, by participating in our Promotions, you agree and affirm that you are a legal resident of the United States of America or Canada (excluding Quebec), and are of the age of majority in your jurisdiction.

We may restrict access to particular Promotions based on applicable laws or the Official Rules.

A person's ability to browse our website or purchase merchandise does not necessarily mean that the person is eligible to participate in every Promotion.

6.7 Winner Verification

Potential winners may be required to complete lawful identity, residency, age, tax, and eligibility verification procedures described in the Official Rules.

Failure to comply with valid verification requirements may result in disqualification, subject to applicable law and the Official Rules.

6.8 Prize Substitutions and Cancellations

Any right to substitute prizes, modify a Promotion, suspend a drawing, or cancel a Promotion must be expressly provided in the applicable Official Rules and exercised only to the extent permitted by law.

We do not reserve an unrestricted right to cancel a Promotion merely because participation, prize costs, or results are commercially unfavorable.

6.9 No Gambling Services

Our promotional sweepstakes are intended to operate as lawful promotional activities, not as real-money gambling services.

Nothing in these Terms authorizes wagering, purchasing entries as standalone gambling products, or participating in activities prohibited by applicable law.

7. Discounts and Third-Party Benefits

Certain membership benefits may be provided by independent third-party merchants, brands, discount networks, or service providers.

Availability, eligibility, redemption restrictions, expiration dates, inventory, and other conditions may vary by partner and offer.

Unless expressly stated otherwise:

a. Discount offers may change, expire, or be withdrawn;

b. Discounts may not be combined with other promotions;

c. Certain products, geographic locations, or customers may be excluded;

d. Purchases from third-party merchants are transactions between the customer and that merchant; and

e. We are not responsible for independent third-party products, fulfillment, or services, except to the extent required by law or expressly agreed by us.

We will make reasonable efforts to maintain accurate information about advertised benefits.

We do not guarantee the continuous availability of any particular merchant or discount unless expressly promised in a membership offer.

8. Payments, Pricing, and Taxes

All prices are shown in USD unless otherwise specified.

You agree to provide valid, accurate, and current payment information.

You authorize charges for purchases and subscriptions that you expressly approve.

Applicable sales taxes, shipping fees, handling fees, or other charges will be disclosed as required before the completion of your purchase.

We may decline or cancel transactions reasonably suspected to involve fraud, unauthorized payment methods, or material errors, subject to applicable law and our refund obligations.

Users are responsible for taxes applicable to their purchases or benefits to the extent required by law.

Tax obligations arising from sweepstakes prizes are governed by the relevant Official Rules and applicable tax law.

9. Shipping, Returns, and Refunds

Purchases of physical merchandise are governed by these Terms and those displayed at the time of purchase.

Estimated delivery dates are estimates unless expressly guaranteed.

Risk of loss and title to physical goods will transfer as specified in the applicable shipping terms and governing law.

Digital products and membership services may be subject to different return or refund conditions, which will be disclosed before purchase.

Nothing in these Terms limits non-waivable consumer refund, cancellation, warranty, or statutory rights.

Prize fulfillment is governed separately by the applicable Official Rules.

10. Store Credits, Promotional Credits, and Discounts

Where offered, store credits or promotional credits may be subject to conditions disclosed when issued, including eligible products, redemption limits, and restrictions on combination with other offers.

Unless otherwise required by law or expressly stated:

a. Promotional credits have no cash redemption value;

b. Promotional credits may not be sold or transferred;

c. Credits may be limited to specified products or services; and

d. Credits may not be used to purchase additional credits or gift cards.

Any expiration, forfeiture, refund, or cancellation condition must be clearly disclosed and comply with applicable law.

Promotional store credits, purchased gift cards, and gift certificates may have different legal treatment. The applicable offer terms will identify the type of credit provided.

11. Acceptable Use and Prohibited Conduct

You agree not to:

a. Use the Services for unlawful, fraudulent, or deceptive activities;

b. Provide false identity, residency, or payment information;

c. Create or use multiple accounts to circumvent stated restrictions;

d. Use bots, scripts, automated submissions, or other unauthorized methods to manipulate purchases, accounts, AMOE entries, or promotions;

e. Interfere with website security or functionality;

f. Scrape, reproduce, or commercially exploit website content without authorization;

g. Infringe our intellectual property or the rights of third parties;

h. Attempt to manipulate prize allocation, drawing procedures, or winner verification;

i. Submit fraudulent payment disputes or knowingly misuse discount programs;

j. Harass, threaten, or impersonate other users or Company personnel; or

k. Circumvent lawful geographic, eligibility, or account restrictions.

We may investigate suspected violations and take appropriate action, including account suspension, cancellation of fraudulent transactions, or disqualification from Promotions where permitted under the applicable Official Rules.

Legitimate refunds, chargebacks, consumer complaints, and the lawful exercise of statutory rights are not prohibited conduct.

12. Intellectual Property

All rights, title, and interest in the Services and their content, including trademarks, logos, designs, text, graphics, software, photographs, and other materials, belong to us or our licensors.

You receive a limited, non-exclusive, non-transferable, revocable right to access and use our Services for lawful personal, non-commercial purposes in accordance with these Terms.

You may not reproduce, distribute, modify, sell, license, or commercially exploit protected materials without prior written authorization.

Third-party brand names and trademarks remain the property of their respective owners.

References to third-party brands or products do not imply sponsorship, endorsement, or affiliation unless expressly stated.

13. User Content, Reviews, and Submissions

If you submit reviews, photographs, testimonials, comments, or other content to us ("User Content"), you represent that you own or have permission to submit that content and that it does not infringe third-party rights.

You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and distribute User Content in connection with operating, promoting, and improving our Services, subject to applicable law and your privacy rights.

This license does not transfer ownership of your User Content to us.

We may remove content that violates these Terms or applicable law.

Any commercial use of a winner's name, likeness, photograph, or testimonial will be governed by applicable law, the relevant Official Rules, and any required separate consent or release.

14. Privacy and Communications

Our collection, use, sharing, and retention of personal information are governed by our Privacy Policy.

We may send transactional communications concerning purchases, subscriptions, account security, payment activity, and sweepstakes participation.

Marketing emails or text messages will be sent in accordance with applicable law and any required consent.

You may unsubscribe from marketing communications through the methods provided in those communications.

Consent to receive promotional text messages is not a condition of purchasing a product or membership.

Additional SMS terms, if applicable, are available on our website.

15. Service Availability and Changes

We aim to provide reliable access to our Services but do not guarantee uninterrupted or error-free operation.

We may perform maintenance, implement security updates, change technical features, or discontinue products or Services.

Where a material change affects an existing paid service, we will honor applicable contractual obligations, provide legally required notice, and offer applicable remedies.

Nothing in this section permits us to disregard binding commitments in published Official Rules.

16. Disclaimers, Liability, and Indemnification

16.1 Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties other than those expressly provided or required by law.

We do not guarantee that the Services will operate without interruption, that all third-party offers will remain available, or that any particular membership will generate a specific financial benefit.

These disclaimers do not alter express product guarantees, statutory consumer protections, or our obligations under the applicable Official Rules.

16.2 Limitation of Liability

To the maximum extent permitted by law, neither the Company nor its officers, employees, contractors, or affiliates will be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Services, except where such exclusion is prohibited by law.

Subject to applicable law, our aggregate liability for claims arising out of or relating to the Services will not exceed the lesser of:

a. The total amount paid by you to us during the six (6) months preceding the event giving rise to the claim; or

b. $100.

This limitation does not apply where prohibited by law, including to liability that cannot lawfully be excluded or limited.

Nothing in these Terms limits liability for fraud, willful misconduct, or other liabilities that applicable law does not permit us to limit.

16.3 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its officers, employees, and agents against third-party claims, losses, and reasonable expenses arising directly from your material breach of these Terms, unlawful conduct, or infringement of third-party rights.

This provision does not require indemnification for our own negligence, misconduct, or breach of legal obligations where prohibited by applicable law.

17. Dispute Resolution

17.1 General

In the interest of resolving disputes efficiently and cost-effectively, you and the Company agree that any dispute arising out of or relating to these Terms, your relationship with the Company, or any products or services offered or provided by the Company, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising during or after termination of these Terms, will be resolved through binding arbitration, except as otherwise provided below.

Arbitration is less formal than litigation in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may permit more limited discovery, and is subject to limited judicial review. Arbitrators may award the same remedies available in court.

BY ACCEPTING THESE TERMS, YOU AND THE COMPANY ACKNOWLEDGE THAT YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO ARBITRATION. THIS ARBITRATION AGREEMENT IS GOVERNED BY THE FEDERAL ARBITRATION ACT.

17.2 Exceptions

Nothing in this Section prevents either party from:

a. Bringing an individual claim in small claims court;

b. Seeking injunctive relief from a court of competent jurisdiction; or

c. Bringing a court action concerning intellectual property infringement.

These exceptions apply subject to applicable law.

17.3 Arbitration Administrator

Any arbitration between you and the Company will be administered by JAMS in accordance with the Federal Arbitration Act and the applicable JAMS arbitration rules and procedures, including the JAMS Consumer Arbitration Minimum Standards where applicable.

The applicable rules and filing procedures are available at www.jamsadr.com or by calling JAMS at 1-800-352-5267.

Except as otherwise required by applicable law, the arbitrator will have authority to resolve disputes concerning the interpretation, applicability, and enforceability of this arbitration agreement.

17.4 Notice and Informal Resolution

A party intending to initiate arbitration must first send written notice of the dispute to the other party by U.S. Mail.

Notices to the Company must be addressed to:

Membership Advantage LLC
16192 Coastal Highway
Lewes, Delaware 19958

The notice must describe the nature and basis of the dispute and identify the specific relief requested.

The parties agree to attempt in good faith to resolve the dispute directly. If no resolution is reached within thirty (30) days after receipt of the notice, either party may initiate arbitration.

17.5 Arbitration Fees

Each party will be responsible for its applicable share of JAMS fees and expenses in accordance with the relevant JAMS fee schedule and rules.

Where the dispute qualifies as a consumer arbitration, the JAMS Consumer Arbitration Minimum Standards and applicable consumer fee provisions will govern.

17.6 Conduct of Arbitration

Unless otherwise agreed by the parties or required under applicable consumer arbitration rules or law, arbitration proceedings will take place in [x County, State].

The arbitrator will issue a reasoned written decision explaining the essential findings and conclusions supporting any award.

The parties agree to maintain the confidentiality of arbitration proceedings and information exchanged, except as required by law or reasonably necessary to enforce or challenge an arbitration award.

17.7 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Unless both parties expressly agree otherwise, and except where applicable law requires otherwise, the arbitrator may not consolidate claims involving multiple individuals or preside over any class or representative proceeding.

17.8 Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where federal law or mandatory consumer protection laws apply.

Any dispute not subject to mandatory arbitration under this Section will be subject to the jurisdiction of the state and federal courts located in Delaware, except where applicable law requires otherwise.

18. Changes to These Terms

We may revise these Terms to reflect changes in our Services, business practices, or legal requirements.

The current version will be published on our website with an updated effective or revision date.

If a change materially affects users' contractual rights or obligations, we will provide notice as required by law and obtain renewed consent where necessary.

Revised Terms will apply prospectively, except where otherwise lawfully agreed.

Changes to these Terms will not retroactively alter the Official Rules of an existing Promotion or accrued contractual rights without a lawful basis.

19. General Provisions

19.1 Entire Agreement

These Terms, together with expressly incorporated policies and applicable transaction-specific terms, constitute the agreement governing use of our Services.

19.2 Severability

If a provision is held unenforceable, the remaining provisions will continue in effect to the extent permitted by law, subject to any special severability requirements applicable to arbitration.

19.3 No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

19.4 Assignment

You may not transfer your account or membership without our written consent.

We may assign our rights and obligations in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets, subject to applicable law and preservation of customer rights.

19.5 Force Majeure

We will not be responsible for delays caused by events reasonably beyond our control, except to the extent that applicable law, our contractual commitments, or the Official Rules impose continuing obligations.

19.6 Electronic Communications

You consent to receiving legally permitted electronic notices and communications relating to your account and transactions, subject to applicable law.

19.7 Contact and Complaints

Questions, notices, and complaints concerning these Terms may be directed to the contact information below.
